Terms Of Service

1. Services Provided 


Tech Teams provides consulting, design, development, implementation, and support services related to AI automation, system integrations, and digital process improvement. Services may be provided on a project, hourly, or retainer basis as outlined in a separate Statement of Work (SOW) or service agreement. 

2. Client Responsibilities

Clients are responsible for providing accurate and timely access to all systems, data, personnel, and information required for the delivery of services. Delays in 
communication or access may impact project timelines or incur additional costs. 

3. Communication Expectations 

Tech Teams uses email, project management tools, and virtual meetings as standard communication methods. Clients are expected to respond to requests 
and updates promptly. If a client becomes unresponsive for more than 14 calendar days, services may be paused until communication resumes. 

4. Change Requests and Scope Adjustments 

Requests outside the scope of the original SOW will be treated as change requests and may result in additional cost, timeline changes, or a new 
agreement. No changes will be implemented without written mutual agreement. 

5. Use of Contractors and Subcontractors 

Tech Teams may engage contractors, agencies, or subcontractors to perform work for the client. These parties are bound by confidentiality and service-level 
expectations. Tech Teams remains accountable for delivery and coordination. 

6. Delegation and Oversight 

Tech Teams maintains sole discretion over the assignment of resources. Clients agree to direct communication and feedback solely to Tech Teams, not to 
subcontracted individuals or agencies. 

7. No Employment Relationship with Contractors 

Clients acknowledge that any contractor or subcontractor engaged by Tech Teams is not an employee of the client. No employment relationship is created 
between the client and third-party providers. 

8. Indemnification for Contractor Misconduct 

While Tech Teams vets and manages its contractors, it is not liable for unauthorized actions unless due to negligence in oversight. Clients agree to 
report concerns promptly for resolution. 

9. Testing and Acceptance 

Unless otherwise stated, deliverables are considered accepted if the client does not raise concerns in writing within seven (7) business days of delivery. After this 
period, the deliverables are deemed approved. 

10. Payment Terms 

Payment terms are outlined in the SOW or invoice. Payment is due upon receipt unless otherwise stated. Late payments may result in service suspension, 
interest charges, or project delays. 

11. Refund Policy 

Payments are non-refundable unless explicitly stated otherwise. Refund requests must be submitted in writing and are reviewed on a case-by-case basis. 

12. Intellectual Property and Ownership 

Upon full payment, the client owns custom-developed deliverables. Tech Teams retains ownership of pre-existing tools, templates, or proprietary frameworks. 
Clients may not reverse-engineer or redistribute proprietary components without written consent. 

13. Code and Data Retention 

Tech Teams may retain a copy of project-related data for 90 days post-completion for backup and audit purposes. After that, it may be permanently 
deleted unless otherwise requested in writing. 

14. Support and Maintenance 

Ongoing support is available by retainer or hourly billing. Support requests must be submitted to support@techteams.ai. Resolution times vary based on priority 
and support level. 

15. Use of Third-Party Services 

Solutions may include third-party platforms such as Zapier, Make, OpenAI, or cloud services. Clients are responsible for maintaining those accounts. Tech 
Teams is not liable for outages or policy changes imposed by third parties. 

16. Data and Security 

Clients are responsible for data accuracy and legal compliance with all data shared. Tech Teams follows industry best practices for security but is not liable 
for third-party breaches or user error. 

17. Confidentiality 

Both parties agree to maintain the confidentiality of sensitive information. No information will be disclosed to third parties without written permission unless 
required by law. 

18. Warranties and Disclaimers 

Services are provided “as-is” without warranty. While we strive for high-quality outcomes, we do not guarantee that deliverables will be error-free or meet all intended outcomes unless expressly stated. 

19. Limitations of Liability 

Tech Teams is not liable for indirect, incidental, or consequential damages. Total liability is limited to the amount paid by the client in the 30 days preceding the 
event giving rise to the claim. 

20. Non-Solicitation 

Clients agree not to directly solicit or hire Tech Teams employees or contractors for a period of 12 months following service completion, without written 
permission. 

21. Service Availability and Downtime 

Service uptime is not guaranteed. Outages may occur due to scheduled maintenance, platform issues, or unforeseen events. We will provide notice when 
possible. 

22. Acceptable Use 

Clients may not use our services for illegal, fraudulent, or abusive activities. This includes automating behavior that violates platform policies or privacy laws. 
Tech Teams may suspend service in response to misuse. 

23. Feedback and Testimonials 

Any testimonials or suggestions shared may be used by Tech Teams for marketing, training, or service improvement unless the client opts out in writing. 

24. Portfolio Rights 

Unless otherwise agreed, Tech Teams may use the client’s name, logo, and a brief description of the work in its portfolio or marketing materials. Sensitive 
details will not be shared without approval. 

25. Publicity and Press 

Tech Teams will not issue press releases or public announcements referencing the client without prior written approval. 

26. Force Majeure 

Neither party is liable for failure to perform due to circumstances beyond their control, including natural disasters, internet outages, or governmental actions. 

27. Independent Contractor Relationship 
 
Tech Teams acts as an independent contractor and nothing in these terms creates a joint venture, partnership, or employment relationship with the client. 

28. Service Modifications 

These Terms of Service may be updated from time to time. Updates will be posted on our website. Continued use of our services constitutes acceptance of 
the revised terms. 

29. Governing Law 

These Terms are governed by the laws of the State of [Insert State]. Any legal action shall be brought in the courts located within that jurisdiction.
